Terms of Use

These terms of use (the Terms) form a legally binding agreement between you (the User or Client) and the provider of the UVIS.PRO accounting and CRM system (the Provider, "we"). The Terms govern the use of the UVIS system (the System or Service). Please read them carefully before using the System.
By registering, creating an account or using the System, you confirm that you have read these Terms and the Privacy Policy, that you understand them, unconditionally agree to them and undertake to comply with them. If you do not agree with the Terms, you may not use the System.

2. Definitions
- System / Service – the UVIS online bookkeeping and customer relationship management (CRM) system available at uvis.pro, including all its modules, features and artificial intelligence (AI) functions.
- Account – the account created during registration that grants access to the System.
- User Content / Data – all data entered or uploaded by the User: accounting records, invoices, bank transactions, client and partner data, documents, etc.
- Plan – the chosen service level (e.g. "Free" or "Pro") that determines the scope of available features.
- AI functions – System features that use artificial intelligence models (document scanning, categorisation, reminder generation, "Ask accounting", etc.).
- AI credits – accounting units that measure the use of AI functions under a Plan.
3. Service description
The System is cloud (SaaS) software for keeping the books of small partnerships (MB), private limited companies (UAB) and other small businesses, and for managing client relationships. Among other things, the System allows you to:
- issue and register invoices and proforma invoices;
- manage income, expenses, bank transactions and cash accounts;
- calculate taxes (VAT, personal income tax, social security contributions, corporate income tax, etc.) at the applicable rates;
- generate reports and tax authority / social security files (i.SAF, FR0600, SAF-T, GPM312, SAM, etc.);
- maintain the general ledger, fixed-asset and inventory accounting;
- manage the client base, sales pipeline and documents (CRM).
The Provider may at any time change, improve, extend or discontinue individual System features, giving reasonable prior notice of material changes where practicable.
4. Registration and account
- The System may be used only by legally capable individuals acting on behalf of and duly authorised by a legal entity, or by legal entities themselves.
- The User undertakes to provide accurate, true and up-to-date registration data and to keep it current.
- The User is responsible for the confidentiality of their login credentials and for all activity carried out through their Account. Any unauthorised access must be reported to the Provider without delay.
- One Account / company environment (tenant) is intended for one legal entity, unless agreed otherwise.
- The Provider may, at its discretion, refuse registration or restrict / suspend access where there is reasonable suspicion of a breach of the Terms, unlawful activity or a security threat.
5. Plans, payments and subscription
- The System is offered under several Plans. The Free plan covers bookkeeping and CRM functions. The paid (Pro) plan additionally provides AI functions and other advanced capabilities as set out in the then-current feature description.
- Prices, billing periods and the scope of paid Plans are shown in the System (the "Subscription" section). A paid subscription is activated upon advance payment for the chosen period.
- Payments are processed through an external payment provider (Stripe). By paying you accept that provider's terms. The Provider does not store full payment card details.
- Automatic renewal: unless stated otherwise, a paid subscription renews automatically for the next period at the then-current rate until cancelled by the User. A subscription can be cancelled at any time in the System or via the payment provider's portal; cancellation takes effect at the end of the paid period.
- AI credits: the use of AI functions is measured in AI credits. A Plan grants a certain monthly credit allowance that resets each month. Unused monthly credits do not roll over unless stated otherwise. Additionally purchased or granted credits are valid according to the terms under which they were provided.
- Price changes: the Provider may change Plan prices with prior notice. Changed prices apply from the next billing period.
- Refunds: fees paid for an access period already provided are non-refundable, except where mandatory law provides otherwise.
- If a paid Plan is not paid on time, the Provider may restrict paid features or move the Account to the Free plan.
6. Artificial intelligence (AI) functions
- AI functions operate on a "human makes the final decision" (human-in-the-loop) basis: AI only provides suggestions (e.g. extracted document data, a transaction category, a draft text) which the User must review and approve before use.
- AI-generated content may be inaccurate or incomplete. The Provider does not guarantee the correctness of AI results and is not liable for consequences arising from the use of unverified AI suggestions.
- AI functions are provided using a third-party AI service provider (see Section 11). When data is processed in AI functions, the relevant content may be transmitted to that provider for processing.
- AI functions do not constitute legal, tax or accounting advice and do not replace a qualified professional.
7. User responsibility for the accuracy of accounting and taxes
The System is an aid. Ultimate responsibility for keeping the books, their accuracy and the fulfilment of tax obligations rests with the User.
- The User is responsible for the accuracy, completeness and timeliness of the data entered into the System.
- Tax calculations, reports and tax authority / social security files produced by the System are prepared on the basis of the data entered by the User and the rates and rules set in the System. The User must verify the results before submitting them to the authorities.
- The Provider is not the User's accountant, tax adviser or auditor and does not provide professional accounting or legal services. The System does not relieve the User of the obligation to comply with the law and, where necessary, to engage a qualified professional.
- The Provider is not liable for fines, default interest or other losses arising from incorrect or late-filed declarations, reports or taxes, or from changes in law or rates not yet reflected in the System.
8. User obligations and acceptable use
When using the System, the User undertakes to:
- use the System only for lawful purposes and comply with applicable law;
- not use the System for fraud, unlawful data processing or any activity infringing the rights of third parties;
- not share login credentials with third parties without a lawful basis;
- not attempt to gain unauthorised access to the System, its servers or other Users' data, not carry out attacks, and not overload the System with automated request traffic;
- not copy, decompile, reverse-engineer, resell or provide the System to third parties without the Provider's written consent;
- have all the legal grounds required (including informing data subjects) to process personal data uploaded to the System.
9. Service availability
- The Provider makes reasonable efforts to ensure the continuous operation of the System but does not guarantee that it will operate without interruptions or errors.
- The System may be temporarily unavailable due to maintenance, updates, faults or circumstances beyond the Provider's control (force majeure, third-party service failures).
- No service-level (SLA) or availability commitments apply to the Free plan.
10. Data, backups and export
- User Content belongs to the User. The Provider processes this data only to the extent necessary to provide the Service.
- The User may download their data at any time using the export tools available in the System (e.g. full data export).
- The Provider makes reasonable efforts to create regular backups, but the User is advised to additionally keep copies of their important data. The Provider is not liable for data loss caused by the User's actions.
- Upon termination, the User's data may be retained for a reasonable transition period after which it may be deleted, except where the law requires longer retention.
11. Personal data and third-party services
- The processing of personal data is governed by the Privacy Policy, which forms an integral part of these Terms.
- To the extent the User enters third parties' personal data (e.g. of their clients or employees) into the System, the User acts as the data controller and the Provider as the data processor, processing data on the User's instructions and in accordance with the law. The terms of such processing are set out in the Data Processing Agreement (DPA), which forms an integral part of these Terms.
- The System operates using reliable third-party service providers, including, among others: payment (Stripe), cloud / document (Google) and AI model (Anthropic) services. By using the relevant functions, the User agrees that the necessary data may be transmitted to those providers for the stated purposes.
12. Intellectual property
All rights to the System, its source code, design, trademarks and content (except User Content) belong to the Provider or its licensors. The User is granted a non-exclusive, non-transferable right to use the System in accordance with these Terms for the term of the agreement. No other rights are granted.
13. Disclaimer of warranties
The System is provided "as is" and "as available", without any warranties. To the extent permitted by law, the Provider disclaims all express and implied warranties, including warranties of merchantability, fitness for a particular purpose, error- or interruption-free operation, uninterrupted availability, and the accuracy or security of results. The Provider does not warrant that the System will meet all of the User's expectations or be free of errors.
14. Limitation of liability
- To the extent permitted by law, the Provider is not liable for indirect losses, lost revenue, lost profit, reputational harm, business interruption, data loss or fines arising from the use of, or inability to use, the System.
- The Provider's total liability under these Terms (regardless of the legal basis of the claim – contract, tort or otherwise) shall in no event exceed the amounts actually paid by the User for the Service over the preceding 12 (twelve) months. When using the Free plan (where no fee is paid for the Service), the Provider's financial liability is limited to the minimum extent permitted by law.
- Any claim against the Provider must be brought in writing no later than 6 (six) months from the day the User became aware, or should have become aware, of the grounds for the claim; after this period the right to bring the claim lapses, to the extent permitted by law.
- These limitations do not apply to the extent liability cannot be limited under mandatory legal provisions (e.g. for intent, gross negligence, or harm to life or health).
15. Indemnification
The User undertakes to indemnify and hold the Provider harmless from any third-party claims, demands, losses, fines and reasonable costs (including legal costs) arising from:
- data entered into or processed in the System by the User, including the processing of personal data without a lawful basis;
- the User's breach of these Terms or of the law;
- unlawful or improper use of the System.
16. Force majeure
The Provider is not liable for any failure or improper performance of its obligations caused by circumstances beyond its control that could not reasonably be foreseen or avoided, including, among others: failures of electricity, internet or third-party services (servers, cloud, payments, AI), cyber-attacks, fire, natural disasters, war, strikes or decisions of public authorities.
17. Term and termination
- The agreement takes effect when the User accepts the Terms and remains in force while the Account is active.
- The User may stop using the System and close the Account at any time.
- The Provider may suspend or terminate access if the User breaches the Terms, fails to meet payment obligations or uses the System unlawfully, giving prior notice where possible.
- Upon termination, the User is advised to export their data in advance (see Section 10).
18. Changes to the Terms
The Provider may amend these Terms. Users are informed of material changes in the System or by email. Continued use of the System after the changes take effect constitutes acceptance of the updated Terms. If you do not agree with the changes, you must stop using the System.
19. Final provisions
- Severability. If any provision of these Terms is held invalid or unenforceable, the remaining provisions remain in force; the invalid provision shall be interpreted (or replaced) by a valid one that most closely reflects its original purpose.
- Entire agreement. These Terms, together with the Privacy Policy and the Data Processing Agreement, constitute the entire agreement between the parties regarding the use of the System and supersede any prior agreements on the subject.
- Assignment. The Provider may assign its rights and obligations under these Terms in the event of reorganisation, merger or transfer of business (or part of it). The User may not assign its rights or obligations without the Provider's prior written consent.
- Waiver. The Provider's failure to exercise any right shall not be deemed a waiver of that right.
20. Governing law and dispute resolution
These Terms are governed by the law of the Republic of Lithuania. The System is intended for business entities (legal persons); therefore provisions on consumer protection do not apply. All disputes shall first be settled by negotiation and, failing agreement, in the courts of the Republic of Lithuania at the Provider's registered seat.
